1. Definitions

In these terms and conditions, the following definitions apply:
Reflection Period: the period within which the consumer can make use of his right of withdrawal;
Consumer: the natural person who is not acting in the exercise of a profession or business and enters into a distance contract with the entrepreneur;
Day: calendar day;
Continuing Performance Contract: a distance contract relating to a series of products and/or services, whereby the obligation to supply and/or purchase is spread over time;
Durable Medium: any means that enables the consumer or entrepreneur to store information addressed personally to him in a way that facilitates future consultation and unaltered reproduction of the stored information;
Right of Withdrawal: the possibility for the consumer to withdraw from the distance contract within the reflection period;
Model Form: the model withdrawal form that the entrepreneur provides that a consumer can fill in when he wishes to use his right of withdrawal;
Entrepreneur: the natural or legal person who offers products and/or services to consumers at a distance;
Distance Contract: an agreement whereby, within the framework of a system organized by the entrepreneur for the distance sale of products and/or services, up to and including the conclusion of the agreement, exclusive use is made of one or more techniques for distance communication;
Technique for Distance Communication: means that can be used for concluding an agreement, without the consumer and entrepreneur being in the same room at the same time;
General Terms and Conditions: the present General Terms and Conditions of the entrepreneur;
Shipping Documents: all documents relating to the transport of goods, including but not limited to bills of lading, consignment notes, customs documents and certificates.

3. Applicability

  1. These general terms and conditions apply to every offer made by the entrepreneur and to every distance contract and orders established between entrepreneur and consumer.
  1. Before the distance contract is concluded, the text of these general terms and conditions will be made available to the consumer. If this is not reasonably possible, before the distance contract is concluded, it will be indicated that the general terms and conditions can be viewed at the entrepreneur’s premises and they will be sent free of charge as soon as possible at the consumer’s request.
  1. If the distance contract is concluded electronically, then, contrary to the previous paragraph and before the distance contract is concluded, the text of these general terms and conditions may be made available to the consumer electronically in such a way that the consumer can easily store them on a durable medium.
  1. In the event that specific product or service conditions apply in addition to these general terms and conditions, the second and third paragraphs shall apply accordingly, and in the event of contradictory terms and conditions, the consumer may always rely on the applicable provision that is most favorable to him.
  1. If one or more provisions in these general terms and conditions are at any time wholly or partially null and void or destroyed, then the contract and these terms and conditions shall remain in force for the rest and the relevant provision shall be replaced without delay by a provision that approaches the scope of the original as much as possible.

4. The Offer

  1. If an offer has a limited period of validity or is made subject to conditions, this will be explicitly stated in the offer.
  1. The offer is without obligation. The entrepreneur is entitled to change and adapt the offer.
  1. The offer contains a complete and accurate description of the products and/or services offered. The description is sufficiently detailed to allow a proper assessment of the offer by the consumer. If the entrepreneur uses images, these are a true representation of the products and/or services offered.
  1. All images, specifications and data in the offer are indicative and cannot give rise to compensation or dissolution of the contract.
  1. Each offer contains such information that it is clear to the consumer what rights and obligations are attached to the acceptance of the offer.

5. The Contract

  1. The contract comes into effect, subject to the provisions in paragraph 4, at the moment of acceptance by the consumer of the offer and the fulfillment of the conditions stipulated therein.
  1. If the consumer has accepted the offer electronically, the entrepreneur will immediately confirm receipt of acceptance of the offer electronically.
  1. If the contract is created electronically, the entrepreneur will take appropriate technical and organizational measures to secure the electronic transfer of data and he will ensure a safe web environment.
  1. The entrepreneur may – within legal frameworks – inform himself whether the consumer can meet his payment obligations, as well as all those facts and factors that are important for a responsible conclusion of the distance contract.

6. International Trade and Transport

  1. Additional conditions regarding shipping, customs clearance, and documentation apply to international trade and transport.
  1. The entrepreneur is responsible for correctly preparing shipping documents, but the consumer remains responsible for providing accurate and complete information needed for these documents.
  1. For sea freight and other international transport methods, additional costs may apply, such as port fees, customs costs, and inspection fees. These costs will be communicated to the consumer in advance.
  1. Delivery times for international shipments are indicative and may be influenced by customs processes, weather conditions, and other factors beyond the entrepreneur’s control.
  1. The entrepreneur is not liable for delays or damage caused by customs authorities, carriers, or other third parties involved in international transport.

7. Right of Withdrawal

  1. When purchasing products, the consumer has the option to dissolve the contract without giving reasons during 14 days. This reflection period commences on the day after receipt of the product by the consumer or a representative previously designated by the consumer and announced to the entrepreneur.
  1. During the reflection period, the consumer will handle the product and packaging with care. He will only unpack or use the product to the extent necessary to determine the nature, characteristics and functioning of the product.
  1. If the consumer exercises his right of withdrawal, he shall bear no more than the cost of return shipment.
  1. If the consumer has paid an amount, the entrepreneur will refund this amount as soon as possible, but no later than 14 days after the withdrawal.

8. Exclusion of Right of Withdrawal

  1. The entrepreneur can exclude the consumer’s right of withdrawal for products as described in paragraphs 2 and 3. The exclusion of the right of withdrawal only applies if the entrepreneur has clearly stated this in the offer, at least in good time before the conclusion of the contract.
  1. Exclusion of the right of withdrawal is only possible for products:
  • that have been created by the entrepreneur in accordance with the consumer’s specifications;
  • that are clearly personal in nature;
  • that cannot be returned due to their nature;
  • that can spoil or age quickly;
  • the price of which is subject to fluctuations in the financial market over which the entrepreneur has no influence.
  1. For international trade and bulk goods, an adjusted arrangement for the right of withdrawal applies, which is communicated to the consumer in advance.

9. The Price

  1. During the period mentioned in the offer, the prices of the products and/or services offered will not be increased, except for price changes due to changes in VAT rates or international trade tariffs.
  1. Contrary to the previous paragraph, the entrepreneur can offer products or services whose prices are subject to fluctuations in the international markets and where the entrepreneur has no influence, with variable prices.
  1. The prices stated in the offer of products or services include VAT, unless stated otherwise.
  1. Additional costs may apply to international transactions, such as customs duties, import taxes and other levies imposed by governments. These costs are not included in the price unless expressly stated.

10. Conformity and Warranty

  1. The entrepreneur guarantees that the products and/or services comply with the contract, the specifications stated in the offer, the reasonable requirements of reliability and/or usability and the statutory provisions and/or government regulations existing on the date the contract was concluded.
  1. A warranty provided by the entrepreneur, manufacturer or importer does not affect the legal rights and claims that the consumer can assert against the entrepreneur on the basis of the contract.
  1. Different warranty conditions may apply to products that are traded internationally, depending on local legislation and transport conditions.

11. Delivery and Execution

  1. The entrepreneur will take the greatest possible care when receiving and implementing orders for products and when assessing applications for the provision of services.
  1. The place of delivery is the address that the consumer has made known to the company.
  1. For international shipments, the entrepreneur is not responsible for delays caused by customs procedures, local regulations or other factors beyond the direct control of the entrepreneur.
  1. The risk of damage to and/or loss of products rests with the entrepreneur until the moment of delivery to the consumer or a pre-designated representative made known to the entrepreneur, unless expressly agreed otherwise.
  1. For international shipments, the risk of damage and/or loss is determined by the agreed Incoterms or other internationally recognized trade terms.

12. Payment

  1. Unless otherwise stipulated in the contract or additional conditions, the amounts owed by the consumer must be paid within 14 days after the start of the reflection period.
  1. Different payment conditions may apply to international transactions, such as advance payment, letter of credit, or other internationally recognized payment methods.
  1. The consumer has the duty to report inaccuracies in provided or stated payment details to the entrepreneur without delay.

13. Complaints Procedure

  1. The entrepreneur has a sufficiently publicized complaints procedure and handles the complaint in accordance with this complaints procedure.
  1. Complaints about the execution of the contract must be submitted to the entrepreneur within a reasonable time after the consumer has discovered the defects, complete and clearly described.
  1. Complaints submitted to the entrepreneur will be answered within a period of 14 days from the date of receipt. If a complaint requires a foreseeable longer processing time, the entrepreneur will respond within the period of 14 days with a notice of receipt and an indication when the consumer can expect a more detailed answer.

14. Disputes

  1. Contracts between the entrepreneur and the consumer to which these general terms and conditions apply are governed exclusively by Dutch law, even if the consumer lives abroad.
  1. The Vienna Sales Convention applies to international trade transactions, unless the parties have expressly agreed otherwise.

15. Additional or Different Provisions

Additional provisions or provisions that differ from these general terms and conditions may not be to the consumer’s detriment and should be recorded in writing or in such a way that they can be stored by the consumer in an accessible manner on a durable medium.
